What these terms cover

These terms and conditions govern your use of this website, which is operated by Affinity Search Partners. By opening, reading or otherwise using the site you agree to be bound by them. Should you disagree with them, the right course is to leave the site. We may also send business email, which is addressed in section C, and we handle personal information as described in our privacy statement, which forms part of these terms.

What the site is for

The site describes the recruiting and placement services we offer to employers and explains how a search with us runs. It is a description, not a proposal. No part of the site amounts to an offer capable of acceptance, and reading it creates no engagement, no obligation and no client relationship. Any recruiting work we undertake is governed by a written agreement signed by both parties. If anything on this site differs from that agreement, the agreement controls.

Email we send to businesses

As part of our work we may write by email to people whose jobs connect to hiring, technology or the services we provide, using the addresses they use for work. Anyone who receives such an email can end further contact by replying and saying so in any words. How we source, use and protect contact information, and how a request to stop is honoured, is set out in the privacy statement.

Illustrations and samples

Any board, chart, checklist, timeline, figure or worked example that appears on this site, or in a document the site links to, is illustrative. Such material is sample content prepared to show how our process works. It does not report results from any client engagement, it does not describe any particular candidate or employer, nor is it a promise or prediction of how any search will turn out.

Using the site properly

Use of the site must be lawful and must not get in the way of other visitors. You must not attempt to disrupt the site or the systems that serve it, break into any part of it or any connected system without authorisation, probe or test its security, introduce harmful code, or use scripts, crawlers or similar tools to copy or harvest its content. We may restrict or end access to the site for anyone who breaches this section.

Ownership of the content

Affinity Search Partners, or the parties licensing material to us, own the text, layout, logo, graphics and other content of the site, which is protected by copyright, trademark and related laws. You are welcome to read the pages and print or save copies for reference within your own business. Any other reproduction, distribution, modification or public display of the content requires our prior written consent. Rights in any work product produced during a client engagement are dealt with in the written agreement for that engagement, not in these terms.

Links and outside services

The site links out to our main website and its contact form, and it loads its Raleway typeface from Google's font service. Those destinations and services are operated by others, under terms and privacy rules of their own, which apply when you use them. We do not control them and are not responsible for their content or conduct. A link does not mean we endorse what you find at the other end.

No warranties

We supply the site as is and as available. So far as the law allows, every warranty is disclaimed, whether express, implied or statutory, including implied warranties of merchantability, of fitness for any particular purpose, of title, of non-infringement, and of accuracy or uninterrupted availability. What you read here is general information about our services. It is not advice of any kind, whether legal, professional, financial or to do with employment, and should not be relied on as advice. Decisions about hiring, engaging a recruiter or entering any agreement remain yours.

Limits on our liability

So far as the law allows, Affinity Search Partners has no liability for indirect damages, incidental damages, special damages, consequential damages or punitive damages, nor for profits, revenue, data, goodwill or business opportunities that are lost, arising out of or connected with the site or these terms, however caused and under any theory of liability, even if we were told such loss was possible. Our combined liability for every claim connected with the site or these terms is capped at one hundred US dollars. Where a jurisdiction refuses to allow a particular limitation, that limitation applies as far as the jurisdiction permits.

Your responsibility for misuse

You agree to indemnify and hold harmless Affinity Search Partners and its owners, employees and agents from any claim, loss, liability, cost or expense, including reasonable attorneys' fees, arising from misuse of the site on your part or from a breach of these terms. We may take over the defence of any matter subject to indemnity, and you agree to cooperate with that defence.

Governing law and how disputes are resolved

These terms, and every dispute connected with the site, are governed by the State of Tennessee's laws, leaving aside any conflict-of-law principles. Where a dispute cannot be settled between us, it goes to binding arbitration in Williamson County, Tennessee, conducted under American Arbitration Association rules, and any court having jurisdiction may enter judgment on the arbitrator's award. This requirement gives way wherever the law refuses to permit arbitration, and in that case either party may seek relief in court to the extent arbitration is unavailable.

General provisions

Should a court find any provision unenforceable, that provision will be limited or removed to the minimum extent necessary and the rest will remain in force. If we let a breach pass without enforcement, that does not surrender our ability to enforce the same provision on another occasion. Together with the privacy statement, these terms make up the entire understanding between you and Affinity Search Partners about use of the site, and replace any earlier understanding on that subject. We may update these terms; the version in force is the one carrying the date printed beneath the heading, and continued use of the site after a change means you accept it.
